This Master Level will discuss the features and pitfalls of long-term energy storage agreements, which include energy storage tolling agreements, demand response energy storage agreements, solar + storage power purchase agreements, and behind-the-meter storage financing agreements (such as operating leases and demand charge shared savings agreements). The presentation will begin with a synopsis of the differences and similarities between these agreements and their role in project financing. It will then turn to common issues and fundamental pitfalls, such as change in law or regulation risk, technology, asset management, and credit risks. The presentation will highlight topics that require special attention, such as change of law provisions and the integration of performance guarantees that are consistent with the operating characteristics of the energy storage system.
